Terms and Conditions Agreement

This Terms and Conditions Agreement Murukali is entered into between Murukali.com, referred to as "Platform", and [Vendor's Company Name], referred to as "Vendor"

1. Purpose

The purpose of this Agreement is to establish the terms and conditions under which the Vendor will list products on the Platform for sale to customers.

2. Product Listing and Inventory Management

a. The Vendor agrees to list its products on the Platform and keep inventory updated in real-time to reflect accurate product availability.

b. The Vendor is responsible for shipping the products to Murukali's store within a very short time probably in hour, and Murukali will handle shipping to customers.

3. Orders and Fulfillment

a. Murukali will notify the Vendor of any orders placed for the Vendor's products through the Platform via email.

b. The Vendor agrees to fulfill orders promptly and accurately within one hour of receiving the order notification.

c. If the Vendor fails to update inventory resulting in unfulfilled orders for a 3 times, Murukali reserves the right to terminate this Agreement.

4. Pricing and Payment

a. The Vendor will set the prices for its products listed on the Platform.

b. The Platform will collect payments from customers on behalf of the Vendor and remit payments to the Vendor within 3days, deducting applicable fees.

5. Fees

a. The Vendor agrees to pay an annual membership fee of 50,000 Frw to the Platform.

b. The Platform will charge a transaction fee of 10% per transaction, which covers digital marketing fees, online payment service fees, and other management system fees.

6. Returns and Refunds

a. The Vendor agrees to accept returns and issue refunds or exchanges as necessary, in accordance with the Platform's return policy.

b. The Vendor will handle return shipments and process refunds promptly upon receiving returned items.

6.1 Boarding Fess Refund

Regarding refunds, we generally do not offer them due to the costs incurred in setting up your store. However, we can provide a grace period of five months and no charge to assist you.

7. Invoicing

a. The Vendor will issue an Electronic Billing Machine (EBM) invoice to customers for purchases made through the Platform.

b. Murukali will issue an EBM invoice to the Vendor for the services provided by the Platform.

8. Customer Service

a. Murukali will handle customer inquiries, returns, and complaints related to orders placed through the Platform.

b. The Vendor agrees to provide necessary support and assistance to Murukali to resolve customer issues promptly.

9. Termination

a. Either party may terminate this Agreement upon written notice to the other party.

b. In the event of termination, the Vendor agrees to remove its products from the Platform, and any outstanding payments will be settled accordingly.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of The Republic of Rwanda

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
